Terms of service

Kalio is the business name used by Agence Mind Mint inc. (“Kalio”, “we”), a Quebec company located at 1230 rue Goupil, Longueuil, Quebec J4K 1G8. These terms govern the use of the kalio.ca website, the Kalio application and the artificial intelligence agents we provide to property owners and managers.

By browsing the site, creating an account or using our services, you accept these terms. If you do not accept them, please do not use the site or the services.

1. What these terms cover

They apply to three things:

• The kalio.ca website, for anyone who visits it.
• The Kalio application and its connections to your tools, for our clients and the people they authorize.
• The agents: Simon (concierge), Maude (leasing assistant), Olivia (administrative assistant) and Alice, as set out in your agreement.

Your service agreement prevails. If you have signed an agreement with Kalio, its financial terms, scope and duration govern. Where it conflicts with this page, the signed agreement wins. These terms complete it, they do not replace it.

2. Who may use the services

Our services are intended for businesses and property management professionals. You must be of legal age and have the authority to bind the organization you represent. Our services are not intended for tenants themselves: our clients’ tenants interact with the agents, but the Kalio client remains the manager or the owner.

3. Accounts and access

You are responsible for keeping your credentials confidential and for the actions taken from your account, including by the members of your team to whom you grant access. Notify us promptly at tech@kalio.ca if you suspect unauthorized access. We may suspend an account where the security of the service or of other clients requires it.

4. What the agents do, and what they do not do

Our agents answer calls, messages and emails, log requests, qualify rental candidates and schedule viewings, according to the configuration agreed with you.

They are assistance tools. They do not replace human judgment. Three limits deserve to be stated plainly:

• Emergencies remain your responsibility. You define what counts as urgent, and the handling of urgent or critical situations is yours at all times. An agent is never an emergency service.
• No guarantee of absolute accuracy. Every artificial intelligence system has technical limits. The answers produced may contain errors and must be supervised.
• No legal advice. Content produced by the agents, including anything touching leases, notices or the Tribunal administratif du logement, is not legal advice. Decisions to accept or refuse a candidate, as well as the creation and signature of leases, remain yours.

5. Your responsibilities

• The accuracy of your data. The agents work from the information you provide (units, tenants, service providers, rules). Their quality depends directly on yours.
• The required consents. You confirm that you have the right to communicate with the people whose contact details you entrust to us, in accordance with Quebec’s Law 25 and Canada’s anti-spam legislation.
• Lawful use. Our services may not be used to send unsolicited bulk messages, to harass or mislead anyone, or to circumvent the rules of the third party platforms you connect.

6. Third party tools you connect

Kalio plugs into the tools you already use: management boards, Facebook Page, viewing calendar, property management software, telephony, mailboxes. By authorizing a connection, you mandate us to act within that tool on your behalf and according to your instructions.

Those tools belong to third parties: their terms, their availability and their subscription fees are theirs and remain at your expense. You may revoke a connection at any time, which stops the part of the service that depends on it.

7. Pricing, invoicing and taxes

Amounts, payment terms and commitment period are those of your agreement. Prices shown on the site are indicative and exclude taxes. Monthly fees are invoiced in advance, metered usage (for example voice minutes beyond what is included) is invoiced based on the monthly statement, and applicable taxes are added.

An unpaid invoice may lead to suspension of the service after notice. Early termination is governed by the commitment clauses of your agreement.

8. Term, termination and suspension

Your agreement sets the term and the termination terms. We may suspend or end access, with reasonable notice, in case of non payment, use contrary to these terms, or a risk to security. When the service ends, your data is returned on request, then destroyed in accordance with our retention policy.

9. Service availability

We aim for continuous availability without guaranteeing it. Interruptions may occur for maintenance, an update, or because of an outage at a third party provider (telephony, hosting, messaging platforms, artificial intelligence model providers). We do our best to schedule maintenance outside peak hours and to inform you of significant interruptions.

10. Intellectual property and ownership of your data

The systems, logic, automations, templates and site content remain the property of Kalio. You receive a right of use for the duration of the service, non exclusive and non transferable.

Your data stays yours. Information about your tenants, buildings, files and communications remains your exclusive property. We use it solely to deliver the service, we neither sell nor rent it, and we do not use it to train artificial intelligence models.

11. Personal information

The processing of personal information is described in our privacy policy, which complies with Law 25. In the context of services provided to a manager, that manager is responsible for the information and Kalio acts as a service provider, on their behalf and according to their instructions.

12. Limitation of liability

Kalio offers no guarantee of financial results, occupancy rate or rental volume. Subject to the rights the law grants you and that cannot be waived, our total liability to you for any claim related to the services is limited to the amounts you paid us during the twelve months preceding the event giving rise to the claim. We are not liable for indirect damages, including loss of profits, goodwill or data.

13. Changes to these terms

We may update these terms to reflect changes in the services or in the legal framework. The update date at the top of the page indicates the version in force. When a change matters to our clients, we inform them by email.

14. Governing law

These terms are governed by the laws applicable in Quebec. Any dispute falls under the exclusive jurisdiction of the courts of the district of Montreal. The French version of these terms prevails over any translation.
